Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the PEIPS (Phronesis Executive Intelligence Public Safety) platform, operated by Aeternum Systems LLC ("Aeternum Systems," "we," "us," or "our"). By accessing or using PEIPS, you agree to be bound by these Terms. If you do not agree, do not use the platform.
2. The Service
PEIPS is a public safety intelligence platform that organizes and presents publicly available crime and public safety data, along with analytical tools and reporting, to support decision making by authorized government and organizational users.
3. Eligibility and Authorized Use
PEIPS is provided to authorized users acting on behalf of government agencies, public safety organizations, and approved institutions. You represent that you are at least eighteen years old and authorized to access the platform on behalf of your organization.
4. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at cjm@aeternumsystems.com of any unauthorized access or suspected breach. We may suspend or terminate access that we reasonably believe is unauthorized or harmful.
5. Acceptable Use
You agree not to:
- access or use the platform other than as authorized;
- attempt to gain unauthorized access to any system, account, or data;
- copy, scrape, harvest, or extract data in bulk except through features expressly provided;
- interfere with or disrupt the integrity or performance of the platform;
- use the platform to violate any law, regulation, or third party right;
- misrepresent your identity, authority, or affiliation.
6. Nature of the Data and Decision Support
PEIPS presents information drawn from public sources and produces analytical summaries and reports intended to support, not replace, professional judgment. The platform is a decision support tool. It is not an official system of record, and its outputs are not legal, investigative, or operational determinations. You are responsible for verifying important information against original sources before relying on it.
7. Intellectual Property
The platform, including its software, design, structure, and original content, is owned by Aeternum Systems and protected by intellectual property law. We grant you a limited, non exclusive, non transferable, revocable right to access and use the platform for its intended purpose. You retain ownership of data your organization submits to the platform.
8. Fees and Subscriptions
Where access is provided under a paid agreement or government contract, fees, payment terms, and renewal conditions are set out in that agreement. Those terms supplement these Terms and control in the event of a conflict.
9. Confidentiality
Each party agrees to protect the other party's confidential information and to use it only for purposes consistent with these Terms and any governing agreement.
10. Disclaimer of Warranties
The platform is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non infringement. We do not warrant that the platform will be uninterrupted, error free, or that data presented will be complete or current.
11. Limitation of Liability
To the fullest extent permitted by law, Aeternum Systems will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of the platform. Our total liability for any claim will not exceed the amount paid for access to the platform during the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Aeternum Systems from any claims, damages, liabilities, and expenses arising out of your misuse of the platform or your violation of these Terms or applicable law.
13. Term and Termination
We may suspend or terminate access at any time for violation of these Terms or as required to protect the platform or its users. Provisions that by their nature should survive termination will survive.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. The state and federal courts located in Ohio will have jurisdiction over any dispute arising from these Terms, unless a governing government contract provides otherwise.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected in the effective date above. Continued use after changes take effect constitutes acceptance.
